Version 1.0 · Last updated: 12 October 2026 · Effective: 12 October 2026 · Lodgely Pty Ltd (ACN 702 876 882)
Private beta. Lodgely is currently in private early access. This is an interim version of our Terms of Service while they undergo legal review. If we make changes, we will tell you as set out in Part 20.
1. About these Terms and who we are
1.1 These Terms of Service (Terms) are a legally binding agreement between Lodgely Pty Ltd (ACN 702 876 882, ABN 77 702 876 882) (Lodgely, we, us, our) and every person who accesses or uses the Service (you). They govern your use of the Lodgely web application at app.lodgely.com.au, our website at lodgely.com.au, and related services (together, the Service).
1.2 The Service lets you upload residential building documentation and receive AI-generated reports that check that documentation against compliance checklists.
1.3 If you have a separate signed agreement with us covering the Service, that agreement prevails to the extent of any inconsistency with these Terms.
2. Accepting these Terms
2.1 You accept these Terms by ticking the acceptance box when you create an account, or when we ask you to accept them after you log in.
2.2 These Terms apply to everyone who uses the Service. Whether or not you have ticked an acceptance box, by accessing, browsing or using any part of the Service, including viewing or relying on a Report, or using an account someone else has set up, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.
2.3 The Service is for business and professional use in the building and design industry. By using the Service, you confirm you are using it for that purpose and not for personal, domestic or household use.
2.4 You must be at least 18 years old and have authority to accept these Terms. If you accept them, or use the Service, on behalf of a business, you confirm you are authorised to bind that business, and "you" includes that business.
3. Beta status
3.1 The Service is currently in beta. Features, checklists, report formats and review limits may change as we develop it.
3.2 During beta, reports may contain more errors or omissions than you would expect from a mature product. Part 11 applies to every report, but you should take particular care to verify reports generated during beta.
3.3 We will tell you by email when the Service leaves beta, and whether any of these Terms change as a result (see Part 20).
4. Accounts and logins
4.1 You must give accurate details when you register and keep them up to date.
4.2 Each account is for one named individual. You must not share your login or let anyone else use your account. Businesses that need multiple users can contact us about an Enterprise plan.
4.3 You must not create multiple accounts to get more free reviews or to get around plan limits.
4.4 You are responsible for keeping your password secure and for activity under your account. Tell us promptly at hello@lodgely.com.au if you think your account has been compromised.
4.5 You can close your account at any time by emailing hello@lodgely.com.au, or from your account settings where that option is available.
5. Plans, review limits and custom checklists
5.1 The plans available, their prices and their monthly review limits are set out on our pricing page at lodgely.com.au/pricing (the Pricing Page). The Pricing Page forms part of these Terms.
5.2 One review = one checklist run. Running one project against three checklists uses three reviews.
5.3 Review limits reset at the start of each month (or each billing month on a paid plan). Unused reviews do not carry over to the next month.
5.4 The Free plan includes a set number of reviews each month, as shown on the Pricing Page. We may change or withdraw the Free plan on at least 30 days' notice.
5.5 Custom checklists (BYOC, or "bring your own checklist") are available only on the plans shown on the Pricing Page. If you move to a plan without BYOC, reviews will run against our standard checklists, and we will keep your custom checklists while your account remains open in case you upgrade again.
5.6 If we offer credit packs (extra reviews purchased on top of your monthly limit), the number of reviews, price and any expiry period will be shown on the Pricing Page at the time of purchase. Credit-pack reviews are used only after your monthly limit is reached.
6. Fees, billing, cancellation and refunds
6.1 During beta, only the Free plan is available, and we will not charge you without your agreement. This Part applies once paid plans are available and you choose to subscribe to one.
6.2 Paid plans are billed monthly in advance in Australian dollars. Prices on the Pricing Page exclude GST, which is added to your invoice.
6.3 Payments are processed by our payment provider, Stripe. We do not store your full card details.
6.4 Paid plans renew automatically each month until cancelled. You can cancel at any time from your account or by emailing us. Cancellation takes effect at the end of the current billing month, and you keep access until then.
6.5 Fees already paid are not refundable for part-months or unused reviews, except where Part 15.4, Part 16.4, Part 20.3 or the law requires otherwise.
6.6 If a payment fails, we will notify you and try again. If it is still unpaid after 14 days, we may move your account to the Free plan.
6.7 We will give you at least 30 days' notice of any price increase to your current plan. You can cancel before it takes effect.
7. Your uploads and your content
7.1 Your Content means everything you upload or enter into the Service. It includes drawings, specifications, titles, plans of subdivision, reports from other consultants, and custom checklists.
7.2 You keep ownership of Your Content. We do not acquire any ownership of it.
7.3 You give us a non-exclusive, royalty-free licence to store, copy, process and analyse Your Content. The licence is only for providing the Service to you, keeping it secure, and meeting our legal obligations. It ends when Your Content is deleted under Part 17.
7.4 You confirm that:
- you own Your Content, or have the permission of the owner (for example, your client or the original designer or consultant) to upload it for this purpose; and
- uploading it does not infringe anyone's intellectual property rights or breach any confidentiality obligation.
7.5 You must not upload content that is unlawful, malicious (including malware), or unrelated to the purpose of the Service.
7.6 We may remove content that breaches this Part.
7.7 Confidentiality. We treat Your Content and your Reports as confidential. We will not disclose them to anyone except:
- our sub-processors, only as needed to provide the Service (Part 9);
- where you ask or permit us to (for example, to help with a support request); or
- where required by law, court order or a regulator, in which case we will tell you first if we are legally allowed to.
7.8 Only people working on the Service may access Your Content, and only where needed for support you have requested, security, fixing a fault, or meeting a legal obligation. Anyone with access is bound by confidentiality obligations.
9. How we process your uploads
9.1 The Service uses artificial intelligence (AI) to read Your Content and generate reports. By using the Service, you consent to this processing.
9.2 We use third-party service providers (sub-processors) to host and run the Service. Our current list, including each provider's role, the data it handles and where that data is processed, is at lodgely.com.au/subprocessors. In summary, uploaded files and reports are stored in Australia (Sydney); the application runs in Singapore; and document text is analysed by our AI provider, Anthropic, in the United States.
9.3 This means Your Content may be processed outside Australia. We take reasonable steps to ensure these providers protect it, including choosing providers whose commercial terms restrict how they use customer data.
9.4 We do not use Your Content to train AI models. Our AI provider does not use data submitted through its API to train its models under its commercial terms. We will not change this without your separate express written consent.
9.5 We will update our sub-processor page before any new sub-processor handles Your Content. If a change affects where uploaded documents are processed or stored, we will also email you before it takes effect.
9.6 Security. We use reasonable technical and organisational measures to protect Your Content. These include encryption in transit (TLS 1.2 or higher) and at rest (AES-256), authenticated access, and database-level access controls that restrict each account's data to that account.
9.7 Security incidents. If we become aware of unauthorised access to, or loss or disclosure of, Your Content, we will:
- notify you without undue delay, and aim to do so within 72 hours of confirming it;
- tell you what we know about what happened and what data is affected;
- take reasonable steps to contain it and reduce harm; and
- where the Privacy Act 1988 (Cth) requires, notify affected individuals and the Office of the Australian Information Commissioner.
9.8 Enterprise customers may request a data processing addendum setting out further detail on how we process personal information on their behalf.
10. Reports: ownership and use
10.1 A Report is the output the Service generates from a review of Your Content.
10.2 As between you and us, you own the Reports generated for your account, to the extent any intellectual property exists in them. You may use, edit, copy and share them for your own business purposes, including with clients, consultants and building surveyors.
10.3 We keep ownership of the Service itself, including our standard checklists, prompts, report templates and formatting. Owning a Report does not give you rights in those.
10.4 You must not sell or offer Reports, or access to the Service, as a stand-alone compliance-checking service to third parties.
11. Reports are not professional advice
11.1 Reports are generated by AI and are not reviewed by a person before you receive them.
11.2 Reports are prepared only from the documents you upload. We do not inspect the site, check council, VicPlan or title records, or verify the accuracy or completeness of anything you provide.
11.3 Reports are a pre-lodgement aid that flags items for your review. They are not:
- professional advice from a registered building practitioner, building surveyor, town planner, engineer or lawyer;
- a certificate of compliance, or a substitute for assessment by the relevant building surveyor or responsible authority; or
- a guarantee that a planning or building permit will be issued, or that you will not receive a request for further information.
11.4 Reports may contain errors, omissions or out-of-date references to regulations, standards or planning provisions. You remain responsible for your documentation and for checking every Report item against current legislation, the National Construction Code, Australian Standards, the planning scheme and council requirements before relying on it.
11.5 You must not present a Report to anyone as advice from Lodgely or as a professional certification.
12. Acceptable use
12.1 You must use the Service lawfully and only for its intended purpose. You must not:
- access or try to access the Service by bots, scripts, scrapers or other automated means, except through any API we provide for that purpose;
- try to gain unauthorised access to the Service, other accounts, or our systems;
- copy, reverse engineer or try to extract our checklists, prompts, models or source code, except to the extent the law allows;
- use the Service or Reports to build a competing product or database;
- resell, sublicense, white-label or provide the Service to anyone outside your account;
- get around review limits, plan restrictions or security controls;
- upload content designed to manipulate the AI into ignoring its instructions or producing misleading output; or
- run security, load or penetration testing without our written permission.
12.2 If you find a security issue, please report it to hello@lodgely.com.au. We welcome responsible disclosure.
13. Our intellectual property and feedback
13.1 We own the Service and all intellectual property in it, other than Your Content and third-party material. That includes the software, standard checklists, prompts, report templates, branding and website content.
13.2 "Lodgely" and our logo are our trade marks. You may not use them without our written permission, except to refer accurately to the Service.
13.3 If you send us suggestions or feedback, we may use them freely to improve the Service without paying you or keeping them confidential. This does not give us any rights in Your Content.
14. Privacy and usage data
14.1 We handle personal information in line with our Privacy Policy. Privacy questions can go to privacy@lodgely.com.au.
14.2 We collect usage data, such as the number of reviews run, checklist types used, processing times and error rates. We use it to operate, secure and improve the Service.
14.3 We may use aggregated, de-identified data derived from use of the Service to improve it and for business planning. This data will not identify you, your clients, or any project address. You can opt out by emailing us.
14.4 We will only send you marketing emails if you have agreed to receive them, and every marketing email includes an unsubscribe link. Essential account emails (such as security notices, billing, and changes to these Terms) are not marketing and cannot be turned off.
14.5 You, or anyone whose personal information appears in documents uploaded to the Service, can ask to access or correct it, or make a privacy complaint, by emailing privacy@lodgely.com.au. We will respond within 30 days. If you are not satisfied with our response, you can complain to the Office of the Australian Information Commissioner.
14.6 If a request relates to personal information inside Your Content (for example, a property owner named on a title you uploaded), we may refer it to you, and you agree to help us respond.
15. Availability, maintenance and changes to the Service
15.1 We aim to keep the Service available and reliable, but we do not guarantee it will be uninterrupted or error-free. Reviews may occasionally fail or take longer than usual.
15.2 If a review fails because of a fault on our side, it should not count toward your review limit. If it does, contact us and we will restore it.
15.3 We may carry out maintenance, and will try to give notice of planned downtime expected to last more than 2 hours.
15.4 We may update the Service, including checklists and report formats. We will not remove a feature that is a material part of your paid plan without at least 30 days' notice. If that happens, you may cancel and receive a pro-rata refund of prepaid fees.
15.5 The Service relies on third-party providers (Part 9). If a provider stops or changes its service, we will try to find an alternative, but may need to change or suspend affected features.
15.6 We will provide the Service with due care and skill and in line with applicable laws.
16. Suspension and termination
16.1 We may suspend your access immediately, without notice, only where reasonably necessary to:
- protect the security or integrity of the Service or other users' data;
- stop unlawful activity; or
- respond to a serious breach of Part 12 (acceptable use).
We will tell you as soon as practicable why we suspended your account and how to have it restored.
16.2 For any other breach, we will give you written notice and 14 days to fix it before suspending or terminating your account.
16.3 You may terminate these Terms at any time by closing your account (see Part 4.5, and Part 6.4 for paid plans).
16.4 We may terminate these Terms for any reason on 30 days' written notice. If we do and you are not in breach, we will refund any prepaid fees and unused credit packs pro-rata.
16.5 After termination, you will have 30 days to download your Reports before Your Content is deleted under Part 17.
17. Data retention and deletion
17.1 While your account is open, we keep Your Content and Reports so you can access them. You can ask us to delete individual projects, uploads or Reports, or your whole account, at any time by emailing privacy@lodgely.com.au, or delete them yourself in the app where that option is available.
17.2 We will action verified deletion requests, and delete the relevant data from our active systems, within 30 days. Deleted data may remain in encrypted backups for a limited period until those backups expire.
17.3 We may keep limited records for longer where the law requires or allows, such as billing records and the usage data in Part 14. We do not keep uploaded documents for this purpose.
17.4 Our AI provider may keep data sent to it for a limited period under its own terms, for example for security and abuse monitoring.
18. Consumer guarantees and limitation of liability
18.1 Your non-excludable rights. Nothing in these Terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded (Non-Excludable Rights).
18.2 Remedy limit. Where the Service is not of a kind ordinarily acquired for personal, domestic or household use, and the law allows us to limit our liability for failing to comply with a consumer guarantee, our liability is limited, at our option, to supplying the Service again or paying the cost of having it supplied again.
18.3 No other warranties. Subject to Part 18.1, the Service is provided on an "as is" and "as available" basis, and we exclude all implied warranties to the extent the law allows.
18.4 Indirect loss. Subject to Part 18.1, neither party is liable to the other for loss of profits, revenue, business or goodwill, or for any indirect or consequential loss. This includes delay costs, redesign costs or additional fees arising from a permit refusal or a request for further information.
18.5 Liability cap. Subject to Part 18.1, our total aggregate liability to you for all claims relating to these Terms or the Service is limited to:
- for paid plans, the fees you paid us in the 12 months before the event giving rise to the claim; or
- for use of the Free plan or use during beta without payment, A$100.
18.6 Exceptions. The exclusions in Part 18.4 and the cap in Part 18.5 do not apply to liability for fraud, wilful misconduct, or personal injury or death caused by negligence.
18.7 Contribution. Each party's liability is reduced to the extent the other party caused or contributed to the loss, including through inaccurate or incomplete documents or failing to verify a Report under Part 11.
19. Indemnity
19.1 You indemnify us against third-party claims, and the reasonable costs of defending them, to the extent they arise from:
- Your Content infringing someone's intellectual property or confidentiality rights, or being uploaded in breach of Part 8; or
- your unlawful use of the Service or breach of Part 12.
19.2 This indemnity is reduced to the extent the claim was caused or contributed to by our own act or omission.
19.3 To claim under this indemnity, we must:
- notify you promptly in writing of the claim;
- let you control the defence and any settlement, provided you do not admit liability on our behalf without our consent; and
- give you reasonable help, at your cost, and take reasonable steps to mitigate our loss.
20. Changes to these Terms
20.1 We may update these Terms, for example to reflect changes to the Service, the law, our business, or advice from our lawyers.
20.2 For changes that materially disadvantage you, we will email you at least 30 days before they take effect, and may ask you to accept the new version when you next log in.
20.3 If you do not agree to such a change, you may close your account before it takes effect. You will receive a pro-rata refund of any prepaid fees and unused credit packs.
20.4 Changes that do not disadvantage you (such as fixing typos, updating contact details or the sub-processor list) take effect when published.
20.5 Each version of these Terms has a version number and date. Past versions are available on request.
21. Assignment
21.1 You may not assign or transfer your rights under these Terms without our written consent.
21.2 We may assign or novate these Terms to a related entity or to a buyer of the Service by giving you written notice, provided your rights under these Terms are not reduced as a result.
22. Disputes and governing law
22.1 If a dispute arises, either party should first raise it in writing with the other. Both parties will try in good faith to resolve it within 20 business days.
22.2 If it is not resolved, either party may refer it to mediation, for example through the Victorian Small Business Commission, before starting court proceedings.
22.3 Nothing in this Part stops either party seeking urgent court orders, or affects your Non-Excludable Rights.
22.4 These Terms are governed by the laws of Victoria, Australia. Each party submits to the non-exclusive jurisdiction of the courts of Victoria.
23. General and definitions
23.1 These Terms, the Pricing Page and the Privacy Policy are the entire agreement between us about the Service.
23.2 If any part of these Terms is unenforceable, it is severed and the rest continues to apply.
23.3 A failure or delay in exercising a right is not a waiver of it.
23.4 Neither party is liable for delay or failure caused by events beyond its reasonable control, such as natural disasters, widespread outages of internet or cloud providers, or government action. The affected party must notify the other promptly and try to minimise the impact. If the event prevents the Service being provided for more than 30 consecutive days, either party may terminate by written notice, and we will refund prepaid fees for the affected period.
23.5 Parts 7.3 (until deletion), 7.7, 7.8, 10, 11, 13, 18, 19 and 22, and any other clause that by its nature should, survive termination.
23.6 Notices to you may be sent to your account email address. Notices to us must be sent to hello@lodgely.com.au, marked "Attention: Legal".
23.7 In these Terms, "including" means "including without limitation", and all amounts are in Australian dollars. Defined terms (Terms, Lodgely, Service, Pricing Page, BYOC, Your Content, sub-processors, Report and Non-Excludable Rights) have the meanings given where they appear in bold. Australian Consumer Law means Schedule 2 of the Competition and Consumer Act 2010 (Cth).
